Terms of Service
Last Updated: October 10, 2026
These Terms of Service (“Terms”) govern your access to and use of Spring, an educational financial-planning service operated by Spring Labs, Inc. (“Spring,” “we,” “us,” or “our”). By creating an account, accepting a private-beta agreement, or using Spring, you agree to these Terms. If you do not agree, do not use Spring.
1. About Spring
Spring provides educational tools that help you organize savings goals, explore contribution strategies, and view illustrative financial forecasts.
Spring does not provide individualized investment, tax, accounting, or legal advice. Spring’s calculations and forecasts do not account for every circumstance that may affect you. You remain responsible for your financial decisions and should consult an appropriately qualified professional when needed.
2. Private Beta
Spring may make pre-release features available through an invitation-only private beta. Beta features may be incomplete, contain errors, change materially, or become temporarily unavailable.
Participation in the private beta may require acceptance of a separately presented beta participation agreement, including permission for the product analytics described in our Privacy Policy. If you withdraw that permission, analytics collection will stop and your private-beta access may be paused.
We may modify, suspend, or discontinue beta functionality at any time.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use Spring. You may use Spring only where doing so is lawful.
You agree to provide accurate account information and to keep that information reasonably current.
4. Accounts and Security
Spring may authenticate you through email sign-in codes, passkeys, or other supported methods. You are responsible for maintaining control of your email account, devices, passkeys, and active Spring sessions.
Notify us promptly through the Contact page or at support@springfinance.io if you believe your account has been accessed without authorization.
5. Your Information
As between you and Spring, you retain ownership of the information you provide to Spring.
You grant Spring a limited, non-exclusive license to host, process, reproduce, and display that information only as reasonably necessary to operate, secure, support, and improve the service and to comply with law. Our handling of personal information is further governed by our Privacy Policy.
You represent that you have the right to provide the information you submit to Spring.
6. Acceptable Use
You may not:
- use Spring for an unlawful, fraudulent, or abusive purpose;
- access or attempt to access another person’s account or information;
- interfere with, overload, damage, or disrupt Spring or its infrastructure;
- introduce malicious code or attempt to bypass a security or access-control measure;
- impersonate another person or misrepresent your affiliation;
- scrape, copy, reverse engineer, or use automated means to access Spring except as expressly permitted by us or applicable law; or
- use Spring in a way that infringes another person’s rights.
7. Third-Party Services and Advisor Introductions
Spring may rely on third-party service providers or provide links or introductions to independent third parties.
Any financial professional introduced through Spring is independent and is not employed, supervised, or controlled by Spring unless we expressly state otherwise. An introduction is not an endorsement or a guarantee of the professional’s services. Your relationship with a third party is governed by your agreement with that party.
8. Spring’s Intellectual Property
Spring, including its software, design, branding, content, planning methods, and documentation, is owned by Spring Labs, Inc. or its licensors and is protected by applicable intellectual-property laws.
Subject to these Terms, Spring grants you a limited, personal, non-exclusive, non-transferable, revocable right to use the service for your own lawful purposes. No other rights are granted.
9. Forecasts and Disclaimers
Financial forecasts and projections displayed by Spring are illustrative estimates based on assumptions, historical information, and information you provide. Actual results may differ materially. Past performance does not guarantee future results.
To the fullest extent permitted by law, Spring is provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.
Nothing in these Terms limits a warranty or right that cannot lawfully be excluded.
10. Limitation of Liability
To the fullest extent permitted by law, Spring Labs, Inc. and its directors, officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from or related to Spring.
To the fullest extent permitted by law, our total liability for all claims arising from or related to Spring or these Terms will not exceed the greater of:
- the amount you paid Spring during the 12 months preceding the event giving rise to the claim; or
- $100.
These limitations do not apply to liability that cannot lawfully be limited or excluded.
11. Changes, Suspension, and Termination
We may update Spring or these Terms from time to time. If a change to these Terms is material, we will provide reasonable notice through the service, by email, or by another appropriate method. The updated Terms will state their effective date.
You may stop using Spring at any time. We may suspend or terminate access when reasonably necessary to protect Spring or its users, address a violation of these Terms, comply with law, or discontinue the service.
Our Privacy Policy governs what happens to personal information following account closure or termination.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Except where applicable law requires otherwise, any legal proceeding arising from or relating to these Terms or Spring must be brought in the state or federal courts located in Delaware, and each party consents to those courts’ jurisdiction.
13. General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of that provision.
You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, corporate reorganization, or transfer of the service.
These Terms, together with the Privacy Policy and any separately accepted beta terms, constitute the agreement between you and Spring concerning the service.
14. Contact
Questions about these Terms may be submitted through Spring’s Contact page or emailed to support@springfinance.io.
